(q) Upload, send emails, publish, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other ownership rights of either party;

8. Report intellectual property infringement


8.1 As stated above, TOSHOP is not permitted to distribute goods that infringe the intellectual property rights of the brand or other intellectual property owners (" IP Owners ").

8.5 TOSHOP acknowledges the manufacturer's right to enter into certain exclusive distribution agreements or minimum advertising price agreements for its products. However, violation of such agreements does not constitute infringement of intellectual property rights. As the enforcement of these agreements is a matter between the manufacturer and the seller, TOSHOP does not assist in such enforcement activities, nor does TOSHOP enforce exclusive distribution rights or price control matters, except in countries/territories where laws specifically govern selectivity. 8.6 Each Seller agrees to hold TOSHOP and its affiliates harmless from all claims, causes of action, damages and judgments arising out of any Intellectual Property infringement claim or deletion of any content or product listing in connection with it.


9. Buy and pay


9.1 TOSHOP supports one or more of the following payment methods in each country in which it operates: credit card


Credit card payments are processed through third-party payment channels, and the types of credit cards accepted by these payment channels may vary depending on your jurisdiction. Installment purchase plan


For orders over S $200, buyers can pay in installments. Installment payments are processed through third party channels. The banks that currently support installment payments are United Overseas Bank, OCBC Bank and DBS Bank.


9.2 The Buyer may only change its preferred payment method for purchase prior to payment.


9.3 TOSHOP shall not be liable for any loss or damage caused to the Buyer by the shipping information and/or payment information entered by the Buyer or by the Buyer's incorrect remittance for the purchase of the goods. We reserve the right to check whether the Buyer has been formally authorized to use certain payment methods and may suspend the transaction until such authorization is confirmed or cancel the transaction if such confirmation is not available.


10. Seller's wallet


10.1 Your account allows you to store payments you receive from sales on the Platform (the "Seller's Wallet"). The sum of this amount minus any withdrawals will be reflected as your seller's wallet balance.


10.2 You may submit up to one transfer request per day (" Withdrawal Request ") to transfer funds from your Seller's wallet (up to the balance of your Seller's wallet) to your associated bank account (" Associated Account "). At TOSHOP's discretion, TOSHOP can also automatically transfer funds from your seller's wallet to your linked account on a regular basis. TOSHOP processes such transfers only on business days and it may take up to two business days for such transfers to be credited to your linked account. TOSHOP can only pay sellers by bank transfer. As a result, sellers need to provide TOSHOP with their bank account details in order to receive payment from their seller's wallet.


10.3 Seller is entitled to one (1) free withdrawal request per week (" Weekly Withdrawal Limit "). Mylife-shop may charge a fee of SGD0.20 (" Withdrawal fee ") for each additional withdrawal request that exceeds the weekly withdrawal limit. TOSHOP may change weekly withdrawal limits and withdrawal fees at its sole discretion.


10.4 Payment for the sale of Goods by you on TOSHOP shall be credited to your Seller's wallet within three (3) days after delivery of the Goods to the Buyer or immediately after the buyer confirms receipt of the Goods.


10.5 Once submitted, you may not modify or cancel the withdrawal request.


10.6 If an error occurs in the processing of any transaction, you authorize us to initiate a debit or credit entry to your designated bank account to correct the error, provided that any such correction is in compliance with applicable laws and regulations. If for any reason we are unable to deduct from your designated bank account, you authorize us to resubmit the deduction and any applicable fees to any other bank account or payment vehicle you have on file with us, or deduct the deduction and applicable fees from your seller's wallet in the future.


10.7 You authorize us to make a debit or credit entry to your Seller's wallet:


(I) Correct any errors in the processing of any transaction;


(ii) TOSHOP determines that you have engaged in fraudulent or suspicious activities and/or transactions;


(iii) relating to any missing, damaged or incorrect article;


(iv) in relation to any award or rebate;


(v) in relation to any uncharged charges;


(vi) in connection with the resolution of any transaction dispute, including any damages due to or from you;


(vii) in relation to any prohibited article or article detained by Customs;


(viii) in relation to any change of mind agreed by the parties; and


(ix) Purchase AD credit if you have activated the AD credit top-up feature and your AD credit is below your AD credit minimum.


11. TOSHOP PAY


11.1 You have both TOSHOP account and MyLife-ShopPay Pte account. Limited (" MyLife-ShopPay "), you authorize MyLife-Shop to disclose such information to MyLife-ShopPay in order for MyLife-ShopPay to provide services to you (as defined in the MyLife-ShopPay Terms of Service), Including, but not limited to, any payment details associated with your account.


12. TOSHOP guarantee


12.1 TOSHOP is a service provided by TOSHOP or its authorized agents to secure the purchase. To avoid liability risk, the funds purchased from Seller using the Services will be held by TOSHOP or its authorized agent (the "TOSHOP Guarantee Account"). The Seller receives no interest or other income from your payments to the TOSHOP Guaranteed account.


12.2 After Buyer pays for its order (" Buyer's Payment "), Buyer's payment will be retained in TOSHOP's Guarantee Account until:


(a) The Buyer sends TOSHOP confirmation that the Buyer has received his/her goods, in which case, unless 12.2(d) applies, Otherwise TOSHOP will release Buyer's purchase amount (less Seller's freight percentage (if applicable)), transaction fees and taxes (as defined below) and (if applicable) cross-border fees (as defined below) to Seller in TOSHOP's secured account;


(b) the TOSHOP Warranty Period (or any extension granted under 12.3) expires, in which case, unless 12.2(c) or 12.2(d) applies, Otherwise TOSHOP will release Buyer's purchase payment (less Seller's freight ratio) for fees (if applicable), transaction fees and taxes (as defined below) and (if applicable) cross-border fees (as defined below) paid to Seller in TOSHOP's secured account;


(c) TOSHOP determines that Buyer's request for return and/or refund is successful, in which case, unless 12.2(d) applies, TOSHOP will provide Buyer with a refund, subject to and in accordance with the Refund and Return Policy;


(d) TOSHOP reasonable distribute the buyer of the purchase money (minus the seller in the freight charges (if applicable), transaction fees and taxes definition (see below), and (if applicable) the proportion of) at other times of the cost of cross-border definition (see below) is appropriate, including but not limited to reasonable it thinks it is necessary to comply with applicable law or court order, or perform the terms of service.


TOSHOP is only available to buyers who pay to TOSHOP through channels provided by TOSHOP. TOSHOP does not cover offline arrangements between buyers and sellers.


12.3 Payments made through the TOSHOP Channel will be retained in the TOSHOP Guarantee Account for a specified period of time (the "TOSHOP Guarantee Period"). Buyer may apply for a one-time extension of the TOSHOP Warranty Period prior to the expiration of the applicable TOSHOP Warranty period, subject to and complying with the Refund and Return Policy. The TOSHOP Guarantee Period may be extended for a maximum of three (3) days upon Buyer's request, unless TOSHOP in its sole discretion determines that such extension is appropriate or required.


12.4 If for any reason the Seller's bank account cannot be credited and/or the Seller cannot be contacted, TOSHOP will use reasonable efforts to contact the Seller using the contact information provided by the Seller. If Seller cannot be contacted and Buyer's purchase money is not claimed within twelve (12) months after it is due to Seller, TOSHOP will process such unclaimed Buyer's purchase money in accordance with any applicable law.


12.5 The Seller/Buyer must be the beneficial owner of the Account and transact on the site only on his or her own behalf. TOSHOP may require the seller or buyer to provide his or her personal data, such as recent identification photos, bank account details and/or any other such documents necessary for verification, including those required by third-party payment processing and logistics service providers. Seller/Buyer hereby consents to TOSHOP using or providing his/her personal data to third parties for his/her use of the Site. In addition, the seller/buyer authorizes TOSHOP to use his/her personal data to make any inquiries we deem necessary to verify his/her identity to the appropriate entity, such as his/her bank.


12.6 TOSHOP warranties are in addition to, but are not limited to, the obligations of Buyer and Seller under applicable law and may go beyond the scope set forth in TOSHOP warranties. TOSHOP warrants that it is neither intended nor intended to assist Buyer or Seller in fulfilling their respective legal obligations and that each party shall be solely liable and TOSHOP shall have no liability in connection with this. Without limitation, TOSHOP does not constitute a product warranty.


12.7 Buyer and Seller acknowledge and agree that TOSHOP's decision on any matter relating to TOSHOP's Warranty (including any appeal) shall be final.


12.8 For the avoidance of doubt, any transaction not conducted on this Website will not qualify for the protection provided by TOSHOP.


13. TOSHOP gold reward system


13.1 Users may earn loyalty points (“TOSHOP”) by buying merchandise on the Site using the TOSHOP Guarantee system or through participation in other TOSHOP activities as TOSHOP may from time to time determine (“Eligible Activities”) based on the conversion rate determined by TOSHOP in its sole discretion. Generally, TOSHOP Coins will be credited to a User’s Account upon the completion of a successful transaction or activity approved by TOSHOP. You are eligible to participate in the TOSHOP Coins reward system if you are a User and your Account does not exclude you from participation.1 Users may earn loyalty points (“TOSHOP”) by buying merchandise on the Site using the TOSHOP Guarantee system or through participation in other TOSHOP activities as TOSHOP may from time to time determine (“Eligible Activities”) based on the conversion rate determined by TOSHOP in its sole discretion. 13.3 TOSHOP coins have no monetary value, do not constitute your property and cannot be purchased, sold, transferred or exchanged for cash. Coins credited to the Buyer by TOSHOP have no monetary value, do not constitute the property of the Buyer and cannot be purchased, sold, transferred or redeemed for cash by the Buyer.


13.4 Subject to TOSHOP's rules and regulations as determined, changed or modified from time to time by TOSHOP and subject to any ceilings imposed by TOSHOP in her sole discretion, Users can offset the purchase price of selected items (as appropriate) up to the time by sending a request to TOSHOP and using TOSHOP coins to donate to a charity registered with TOSHOP or when purchasing on the site as suggested by TOSHOP from time to time. All refunds are subject to TOSHOP's Refund and Return Policy under Section 16.4.


13.5 Any TOSHOP Coin you exchange or donate will be deducted from your TOSHOP Coin balance. Each TOSHOP coin has an expiration date. Please check your account details on the website for TOSHOP coin balances and due dates.


13.6 We may tell you from time to time that TOSHOP coins will be awarded for specific qualifying activities. This may include, but is not limited to, purchases you make with participating sellers or under specific promotional offers. From time to time, we will inform you of the terms of such bonus awards, if any.


13.7 If you dispute the number of TOSHOP coins you received at a qualifying event, you must file such a dispute within one (1) month from the date of the qualifying event. We may ask you to provide evidence to support your claim.


13.8 TOSHOP does not provide any warranty or accept any liability for the final tax treatment of TOSHOP coins. You will need to check with your tax adviser whether receiving TOSHOP coins will affect your tax situation.


13.9 TOSHOP reserves the right to (I) terminate the TOSHOP Coins Reward System at any time in its sole discretion and/or (ii) cancel or suspend a user's right to participate in the TOSHOP Coins Reward System, including the ability to earn and exchange TOSHOP Coins at its sole discretion.


14. TOSHOP Coin Marketing Services


14.1 Seller may purchase TOSHOP Tokens in the "Marketing Center" section of the Seller Center (" Marketing Center ") for free distribution to buyers for marketing purposes. If you are a seller purchasing TOSHOP Coins, you will be deemed to have agreed to the terms and conditions set forth in this section and any explanatory materials posted or otherwise communicated in writing to the Seller on this Website, in the Seller's Center (the "Seller's Coin Rules").


14.2 To purchase TOSHOP coins, you must be an eligible seller under the Seller's Coin Rules. Your account may not be suspended while you purchase and pay for TOSHOP coins.


14.3 You may purchase TOSHOP coins through the payment method specified by the Marketing Center. Upon completion of payment, TOSHOP tokens will be issued to your account within 24 hours for presentation to the buyer and due six (6) months after purchase or such other time as TOSHOP determines. Unless otherwise specified in the applicable Seller's Coin Rules, you may not cancel your order and/or request a refund after you have purchased TOSHOP Coins and completed the payment process.


14.4 The TOSHOP coins purchased by the seller can only be given to the buyer free of charge through the promotional channels provided by the marketing Center. Under no circumstances shall you sell, exchange or otherwise trade TOSHOP coins. You agree that failure to comply with this Section or any Seller Coin Rules may result in forfeiture of your purchased TOSHOP coins, in addition to any other actions or remedies TOSHOP may take or enforce.


14.5 You understand and agree that TOSHOP does not warrant or warrant any increase in viewership or sales of your merchandise as a result of the purchase and free distribution of TOSHOP coins.


14.6 It is recommended that you purchase TOSHOP Coins after fully considering your budget and intended advertising objectives. Except as otherwise provided in these Terms of Service or Seller's Coin Advertising Rules, TOSHOP shall not accept any liability for the results or expected results or assume any liability (including but not limited to actual expenses and loss of profits) for the purchase of TOSHOP coins.


14.7 If, notwithstanding anything in these Terms of Service, TOSHOP is found liable (including gross negligence) by a court in a competent jurisdiction in connection with your purchase of TOSHOP coins, then to the fullest extent permitted by applicable law, Its liability to you or any third party is limited to the amount you pay for the relevant TOSHOP coins.


15. TOSHOP Coin Cash Back Coupon


15.1 Users may receive a coupon that allows them to earn additional MyLife-Shop coins (" MyLife-Shop Coin Cashback Coupon ") on eligible purchases on the site. After a successful transaction with MyLife-Shop Coin Cashback voucher is completed, Additional MyLife-Shop Coins will be deposited into a User account voucher at the conversion rate indicated in such MyLife-Shop Coin Cashback Terms and Conditions (" Additional MyLife-Shop Coin Rate ") or at MyLife-Shop's sole discretion. Mylife-shop coins credited to the user after exchange for a MyLife-Shop Coin cashback coupon shall have the same terms and conditions (including those relating to maturity) as regular MyLife-Shop coins.

15.3 The additional MyLife-Shop coin rate when generating the Seller Coin cashback coupon will be at the seller's discretion. Seller shall be solely responsible for the accuracy of the MyLife-Shop coin surcharge rate.


15.4 For each completed transaction where a Buyer successfully applies a Seller Coin Cashback Voucher, the Seller shall pay mylife-shop the value of the additional mylife-shop Coins credited to the Buyer (“Coin Cashback Price”). The Coin Cashback Price is calculated in Singapore Dollars as the number of additional mylife-shop Coins to be credited to the Buyer’s Account divided by 100, rounded up to the nearest cent. The Coin Cashback Price is subject to GST (“Coin Cashback Tax Amount”), and the Seller is responsible for such Coin Cashback Tax Amount.


15.5 Upon successful completion of the Transaction, TOSHOP shall deduct the scrip cash back price and scrip cash back tax from the Buyer's purchase amount and remit the balance to the Seller in accordance with the provisions of Section 12.2. TOSHOP shall issue a receipt or tax invoice for Coin Cashback price and Coin Cashback tax upon request. For the avoidance of doubt, the coin cashback price and coin cashback tax apply in addition to the transaction fees and tax under the Terms of Service.


15.6 The token cash back price and the token cash back tax are non-refundable.


16. Delivery


16.1 mylife-shop will inform Seller when mylife-shop receives Buyer’s Purchase Monies. Unless otherwise agreed with mylife-shop, Seller should then make the necessary arrangements to have the purchased item delivered to Buyer and provide details such as the name of the delivery company, the tracking number, etc. to Buyer through the Site.


16.2 Seller must use his/her best effort to ensure that Buyer receives the purchased items within, whichever applicable, the mylife-shop Guarantee Period or the time period specified (for offline payment) by Seller on Seller’s listing.


16.3 User understands that Seller assumes all risks for the delivery of the Purchased Items and warrants that he/she has or will obtain adequate insurance to deliver the purchased Items. If the purchased item is damaged, lost or cannot be delivered during delivery, User acknowledges and agrees that TOSHOP shall not be liable for any damage, charges, costs or expenses resulting therefrom and Seller and/or Buyer will contact the Logistics Service Provider to resolve such dispute.


16.4 If the Buyer elects to deliver the purchased items by SingPost ordinary mail, all costs of delivering the purchased items shall be borne solely by the Seller.


16.5 If the Buyer elects to deliver the purchased item by any other means of transportation, the fees payable to the Shipping Company (" freight ") shall be borne by the Buyer, Seller and TOSHOP in such proportion as may be determined below and posted on the Website from time to time by TOSHOP. TOSHOP shall (I) charge Buyer's freight percentage to Buyer, (ii) deduct Seller's freight percentage from Buyer's purchase amount in accordance with Clause 12.2, and (iii) pay the total freight to Courier Company.


17. Cancellations, returns and refunds


17.1 The Buyer may only cancel his/her order prior to payment of the Buyer's purchase into the TOSHOP Guarantee account.


17.2 Buyer may apply for returns and refunds prior to the expiration of TOSHOP's warranty, if applicable, subject to and in accordance with TOSHOP's Refund and Return Policy. See TOSHOP's Refund and Return Policy for more information.


17.3 TOSHOP reserves the right to cancel any transaction on the Website and Buyer agrees that Buyer's only remedy is to receive a refund of Buyer's purchase money paid into TOSHOP's Guaranteed account.


17.4 If you have exchanged TOSHOP coins for your transaction and you are successful in obtaining a refund under TOSHOP's Refund and Return policy, TOSHOP will refund you the amount actually paid for the item and return any MyLife that has been redeemed - by purchasing the coins separately into your account.


17.5 TOSHOP does not monitor the cancellation, return and refund process of offline payment.


17.6 Refunds to buyers shall be returned to their TOSHOP wallet within five (5) days of approval of the return or refund request.


18. Seller's Liability


18.1 The Seller shall properly manage and ensure that the relevant information of the commodity (such as price, commodity specifications and inventory quantity) and any terms and conditions of sale are updated in the listing of the Seller and shall not publish inaccurate, misleading or incomplete information.


18.2 The price of items for sale will be determined by the Seller at his/her own discretion. The price of an item and shipping charges shall include the entire amount to be charged to Buyer such as sales tax, value-added tax, tariffs, etc. and Seller shall not charge Buyer such amount additionally and separately.


18.3 Seller agrees that TOSHOP may at its discretion engage in promotional activities to induce transactions between Buyer and Seller by reducing, discounting or refunding fees, or in other ways. The final price that Buyer will pay actually will be the price that such adjustment is applied to.


18.4 In order to promote the sale of the goods listed by the Seller, TOSHOP may publish the goods (price adjustment) on third party websites (such as portal websites, price comparison websites) and other websites (domestic or foreign). It's run by TOSHOP.


18.5 The Seller shall issue receipts, credit card receipts or tax invoices to the Buyer upon request.


18.6 Seller acknowledges and agrees that Seller will be responsible for paying all taxes, duties and duties on the Goods sold and TOSHOP is unable to provide any legal or tax advice in this regard. Since tax laws and regulations may change from time to time, sellers are advised to seek professional advice when in doubt.


18.7 Seller acknowledges and agrees that Seller's breach of any TOSHOP Policy will result in a series of actions described in Clause 7.1.


19. Paid advertising


19.1 TOSHOP offers keyword advertising (“Keyword Advertising”) and other advertising services, including participation in flash deals (“Flash Deal Advertising”) (Keyword Advertising and Flash Deal Advertising hereinafter referred to together as "Paid Advertising") on its Paid Advertising Site and other site/s on an ongoing basis. Sellers may purchase the Paid Advertising services. mylife-shop provides the Paid Advertising services in accordance with these Terms of Service and any explanatory materials published on this Site, the Paid Advertising Site or otherwise communicated to Sellers in writing (hereinafter referred to as the "Paid Advertising Rules"). Sellers who purchase Paid Advertising services agree to be bound by the Paid Advertising Rules. If you are not agreeable to being bound by the Paid Advertising Rules, do not buy any Paid Advertising Services.


19.2 In order to purchase paid advertising services, you must be a qualified seller under the Paid Advertising rules. Your account may not be suspended when you purchase and pay for paid advertising services.


19.3 You may purchase paid advertising services by purchasing advertising credits on Paid advertising sites or other websites (" Advertising Credits ") and the cost of paying for advertising services will be deducted from the advertising credits by MyLife-Shop. All advertising credits are subject to Goods and Services Tax and expire six (6) months after purchase or such other time as TOSHOP may determine. Unless otherwise specified in the applicable paid advertising rules, you may not cancel your order and/or request a refund after you have purchased the advertising credit and completed the payment process.


19.4 If your AD credit balance is below the amount you set (" AD Credit Minimum "), you may also choose to automatically recharge your AD credit through your Seller wallet (" AD Credit Top-up Feature "). When you activate the Advertising Credit top-up function, you can choose the minimum amount of advertising credit and the top-up amount, and you agree to have the money deducted from your seller's wallet in accordance with Clause 10 of these Terms of Service.


19.5 You have the option to purchase Keyword Advertising services at the time you list an item for sale or subsequently. When you purchase Keyword Advertising, you can set different budgets, keywords, marketing periods, etc. for each item in accordance with the Paid Advertising Rules. The Keyword Advertising service for each item will be activated and will expire on the respective dates set by you (the “Paid Advertising Period”). You will not be entitled to transfer the remaining Paid Advertising Period or Advertising Credits to other items if an item is sold or unlisted during the Paid Advertising Period you set for that item. The Advertising Credits will also not be refunded.


19.6 You have the option to purchase Flash Deal Advertising services during the periods nominated by TOSHOP.  When you purchase Flash Deal Advertising services, you may nominate items to be included in a flash sale and TOSHOP may include such items in a flash sale at its sole and absolute discretion. Advertising Credits are not transferable to other items once used, regardless of whether the items are sold/unsold, or unlisted during the flash sale.  The Advertising Credits will also not be refunded.


19.7 The goods you list on the Site must comply with all relevant laws and regulations, the Paid Advertising Rules, these Terms of Service and the Prohibited and Restricted Items Policy. You understand and agree that TOSHOP has the right to immediately remove any listing which violates any of the foregoing and any Paid Advertising fees that you have paid or Advertising Credits you have used in relation to any listing removed pursuant to this Section 18.7 will not be refunded. TOSHOP will also not be liable to compensate you for any loss whatsoever in relation to listings removed pursuant to this Section 18.7.


19.8 You understand and agree that TOSHOP does not warrant or guarantee any increase in viewership or sales of your items as a result of the Paid Advertising services.


19.9 You are advised to only purchase Paid Advertising services after fully considering your budget and intended advertising objectives. Except as otherwise provided in these Terms of Service or the Paid Advertising Rules, TOSHOP shall not be liable for any compensation or be subject to any liability (including but not limited to actual expenses and lost profits) for the results or intended results of any Paid Advertising service.


19.10 If, notwithstanding anything in these Terms of Service, a court of competent jurisdiction finds Shein liable (including gross negligence) for any paid advertising service, its liability to you or any third party is limited, to the maximum extent permitted by applicable law, to the amount you paid for the relevant paid advertising service.


19.11 For sellers located in Singapore, tax invoices for automated top-up ads can be obtained from the seller Centre.


20. Purchase and sale of alcohol


20.1 TOSHOP permits the purchase and sale of alcoholic products (" Liquor ") on this Website, subject to the terms and conditions of this section 19. If you are a buyer of alcohol (" Buyer of alcohol "), you will be deemed to have agreed to the terms and conditions of this Clause 18 when you purchase alcoholic beverages on this Website. Similarly, if you are an approved liquor seller (" Liquor Seller "), you will be deemed to have agreed to the terms and conditions of this Section 18 when you sell liquor on the Website.


20.2 If you are a buyer of alcohol:


(I) You represent and warrant that you and (if applicable) the person receiving the alcoholic beverage (the "recipient") are at least 18 years of age;


(ii) You shall not require liquor to be transported to any public place (as such term is defined in the Control of Liquor (Supply and Consumption) Act 2015, as amended from time to time);


(iii) You and/or the recipient shall provide photo identification for age verification if requested by the distributor of alcohol or TOSHOP (or its agent).


20.3 If you are a distributor of alcohol, you represent and warrant that:


(I) You hold all necessary licenses and/or licenses for the sale of alcohol through the Site and shall be required to provide TOSHOP with copies of such licenses and/or licenses and supporting documentation immediately for verification; and


(ii) All information and documents provided to TOSHOP are true and accurate.


20.4 When shipping liquor to a liquor buyer:


(i) the delivery agent reserves the right to request for valid photo identification for age verification purposes; and


(ii) TOSHOP (via the delivery agent) reserves the right to refuse the delivery of Alcohol if the Alcohol Buyer and/or the Recipient appears intoxicated or is unable to provide valid photo identification for age verification purposes.


20.5 Each buyer and seller of Liquor each agrees to indemnify, defend and protect TOSHOP and its shareholders, subsidiaries, affiliates, directors, officers, agents, co-brands or other partners and employees (collectively, "Indemnized Parties "). 21. Transaction costs

The transaction fee is subject to GST (" Tax "), which the Seller is responsible for.


21.2 For sellers who sell products on the Platform through the Shopify API, TOSHOP charges a fee for all successful transactions completed on the Site (the "Shopify Transaction Fee"). Shopify transaction fees, which are borne by the seller, are calculated as one-half of the buyer's purchase amount (1.5%), rounded to the nearest cent. Shopify transaction fees are subject to GST (" Shopify Tax ") and Seller is responsible for such Shopify tax. For the avoidance of doubt, Shopify transaction fees and Shopify taxes apply in addition to transaction fees and taxes.


21.3 Upon successful completion of the Transaction, TOSHOP shall deduct transaction fees, taxes, cross border fees, Shopify transaction fees and Shopify taxes (if applicable) from the Buyer's purchase amount and remit the balance to the Seller pursuant to Section 12.2. TOSHOP shall issue receipts or tax invoices for Seller's transaction fees, taxes, Shopify transaction fees, and Shopify taxes as required. For sellers located in Singapore, these tax invoices can be obtained from the Seller Center.


22. Registration of overseas suppliers


22.2 TOSHOP shall withhold and promptly remit the corresponding OVR GST amount to the Singapore Tax Authority. The seller of overseas digital services shall ensure that all applicable taxes, if any, levied on the sale of digital services have been properly collected. The seller of overseas digital Services shall cooperate and endeavor to provide TOSHOP with all necessary information to comply with applicable tax requirements under the Overseas Provider Registration system. From Jan 1, 2023, the scope of the overseas supplier registration system will be expanded to include non-digital services that can be supplied and received remotely as well as low-value goods sold by sellers outside Singapore.


23. The dispute


23.1 Any problems arising from the transaction shall be resolved in accordance with TOSHOP's policies.


23.2 Both Buyer and Seller undertake and agree not to bring any action or otherwise assert any claim against TOSHOP or its affiliates (unless TOSHOP or its affiliates are the seller of the products to which the claim is made) in respect of Any transaction made on the Site or any dispute in connection with such transaction.


23.3 Users covered by TOSHOP Warranty may send written requests to TOSHOP to assist them in resolving issues that may arise in their transactions. TOSHOP may, in its sole discretion, take all necessary steps to help User resolve the dispute without any liability to Buyer or Seller. See TOSHOP's Refund and Return Policy for more information.


23.4 To be clear, the services provided under Section 23 will only apply to buyers covered by TOSHOP. Buyers using other payment methods should contact the seller directly.


24. The feedback


24.1 TOSHOP welcomes users to provide information and feedback, which will enable TOSHOP to improve the quality of the service provided. See the feedback program below for more information:


(I) Feedback may be provided in writing by E-mail or using the feedback form on the application.


(ii) Anonymous feedback will not be accepted.


(iii) Users affected by the feedback should be fully informed of all the facts and given an opportunity to present their views.


(iv) Vague and defamatory feedback will not be accepted.


25. Disclaimer

Without limiting the above regulations and applicable law allow maximum range, TOSHOP don't guarantee service, this web site, or contains functions will be available, accessible, uninterrupted, timely, safe, accurate, complete or without errors, defects (if any) will be corrected, or the server and/or provide the same function in this website without virus, clock, timer,


25.2 You acknowledge that, to the maximum extent permitted by applicable law, all risks arising from the use or execution of the Site and/or the Services are your responsibility.


25.3 TOSHOP is beyond its control and, to the maximum extent permitted by applicable law, does not guarantee or accept any liability for: (A) the suitability, existence, quality, safety or legality of the items provided through the Services; Or (B) the ability of the seller to sell the goods or the buyer to pay for the goods. To the extent that there is a dispute involving one or more Users, such Users agree to resolve such dispute directly between them and, to the maximum extent permitted by applicable law, to release TOSHOP and its affiliates from any and all claims, demands and damages arising therefrom belonging to or in connection with any such dispute.


26. Exclusion and limitation of liability


26.1 To the fullest extent permitted by applicable law, TOSHOP shall under no circumstances contract, warranty, tort (including but not limited to negligence (whether active, passive or constructive), product liability, strict liability or other doctrine), or other law, equity, regulation or other cause of action, be used to:


(I) (A) not available; (B) Loss of profits; (C) Loss of income; (D) Data loss; (E) Loss of goodwill; Or (F) failure to achieve the expected savings, either directly or indirectly;


(ii) any indirect, incidental, special or consequential damage arising out of or in connection with the use or inability to use the Site or Services, including but not limited to any damage resulting therefrom, even if MyLife-Shop has been informed of the possibility of such damage.


26.2 You acknowledge and agree that your sole right to terminate your account and/or cease any use of the Services with respect to any problem or dissatisfaction with the Services is to do so.


26.3 Notwithstanding the foregoing, if TOSHOP is found liable (including gross negligence) by A court of competent jurisdiction, its liability to you or any third party is, to the fullest extent permitted by applicable law, to the lesser extent: (A) any amount payable and payable to you under TOSHOP's guarantee; And (B) $100 ($100).
